Flat User Service Agreement

Welcome to the use of the FLAT Software. For your protection, please read this Service Agreement ("Agreement") in its entirety before using the services provided. This Agreement includes the body of the Agreement, other agreements expressly referenced in this Agreement below, and various rules that may be issued in the future. All rules are an integral part of this Agreement and have the same legal effect as the body of the Agreement. Unless otherwise expressly stated, your use of the Services provided is governed by this Agreement.

I. Definition FLAT is the online interactive service software provided by Agora.

II. Amendments to the User Service Agreement

Agora reserves the right to amend this Agreement and the related Terms of Service in a reasonable manner, such as through announcements on the FLAT mobile client software or web pages, as necessary. When using the FLAT software, you should promptly review and understand the contents of the modifications and consciously comply with the relevant contents of these Terms of Service. If you continue to use FLAT, you shall be deemed to have agreed to the modifications and in the event of a dispute, the latest Terms of Service shall prevail; if you do not agree to the modifications, you have the right to stop using the services covered by these Terms of Service.

III. Changes or Discontinuation of Services FLAT is always changing and improving its services.

FLAT may add or remove portions of the Services, or may suspend or discontinue the Services altogether. You agree that FLAT has the right to exercise such rights without any liability to you or to third parties.

IV. Account Usage Rules

1. You must be logged in to your account in order to use the online interactive features provided by FLAT.
2. You acknowledge that you are a natural person, legal entity or other organization with full civil rights and capacity to act, and that you are capable of assuming independent responsibility for your use of the services provided by FLAT. If you do not have the aforementioned capacity or are a minor under the age of eighteen, please read these Terms of Service in the presence of your guardian and use the Services after obtaining their consent to your use of the Services and to these Terms of Service; we have the right to recover from your guardian if we hold you liable under the law or under this Agreement.
3. The account name, avatar, profile and other account information that you fill out, log in and use when using the FLAT Service shall comply with the seven bottom lines of laws and regulations, socialist system, national interest, legitimate rights and interests of citizens, public order, social morality and authenticity of information, and no illegal or undesirable information shall appear in the account information, and you guarantee that when you fill out, log in and use the account information, you shall not:

(1) violate the Constitution or the provisions of laws and regulations
(2) endangering national security, leaking state secrets, subverting state power, and undermining national unity
(3) Damage to national honor and interests, damage to public interest
(4) inciting ethnic hatred, ethnic discrimination, and undermining national unity
(5) undermining national religious policies, promoting evil cults and feudal superstitions
(6) spreading rumors, disturbing social order and destabilizing society
(7) spreading obscenity, pornography, gambling, violence, murder, terror or abetting crime
(8) Insulting or slandering others, infringing on the legitimate rights and interests of others
(9) Containing other contents prohibited by laws and administrative regulations.

If there is any illegal or undesirable information in your account information such as login, account avatar, personal profile, etc., FLAT has the right to take measures such as notice of correction and suspension. FLAT has the right to cancel the use of your account and report to the government authorities if you use your account name, avatar, or profile by impersonating an affiliated organization or celebrity.

You are responsible for keeping your account and password secure. If you fail to keep your account and password secure and cause damage to yourself, the Agora or a third party, you will be held fully responsible. In addition, you are solely responsible for all activities and events that occur under your account. You may change the password for your account at any time. You agree to notify us immediately of any unauthorized use of your account or any breach of security, and we will do our best to resolve the situation appropriately.

V. Data

Unless otherwise certified, the data stored by Agora on its servers is the only valid evidence of your use of the FLAT service.

VI. FLAT Usage Rules

1. You are legally responsible for your actions in the course of using the FLAT software. Your legal liability may take the form of, but is not limited to, compensation to those who have been infringed; and an equal amount of compensation from you to the Agora after the Agora has first assumed liability for administrative penalties or tort damages resulting from your actions.
2. You understand and agree that Agora has the right to provide necessary information that you submit to Agora or that is stored on FLAT's servers in connection with your use of the FLAT Software to the authorities that have the right to do so upon request. If you are suspected of violating the legal rights and interests of others, Agora shall have the right to provide the aforementioned necessary information about you to the right holder if it is initially determined that the suspected infringement exists.

VII. Privacy Policy

It is a basic policy of Agora to respect the privacy of its users. Agora will collect, store, use, disclose and protect your personal information in accordance with the FLAT Privacy Policy. To protect the privacy of the information you provide to us as part of the Services, we adhere to the FLAT Privacy Policy, which you can refer to at the following URL:. You can specify the areas where your content is stored. We will not migrate your Content from the areas you select without your consent unless (a) it is necessary to do so in order to comply with applicable laws and regulations or binding orders of governmental authorities; (b) to provide billing, administrative, or technical services or as a result of an investigation of a security incident or an investigation of a violation of this Agreement. We may process some data in the data center areas where you use the Services, and we may also process such data in areas where we maintain operational, support and investigative systems and teams.

If you are a minor under the age of 18, please notify your guardian to jointly read and acknowledge the FLAT Personal Information Protection Rules for Minors and Notice to Guardians, and be sure to seek their consent and guidance before you use the Services and submit personal information.

VIII. Force Majeure and Exclusion of Liability

Force Majeure: Agora shall not be liable for damages caused by force majeure. Force majeure referred to in these Terms of Service includes: acts of God, changes in laws, regulations or governmental directives, causes unique to the characteristics of the network service, such as failures of domestic or foreign basic telecommunications carriers, computer or Internet-related technical defects, Internet coverage restrictions, computer viruses, hacker attacks, and other objective circumstances within the scope of lawfulness that cannot be foreseen, avoided, and cannot be overcome.

Disclaimer: This product is a test product provided by Agora to demonstrate to Agora customers the effects that can be achieved by embedding the Agora product SDK. This product is provided to existing or potential customers for testing purposes only, and is not an official product for general use.

If you would like to try this product, you are welcome to download, install and use it, and Agora hereby grants you the right to use this product free of charge worldwide. this product is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, warranties of fitness, fitness for a particular purpose, and non-infringement. Agora shall not be liable for any claims, damages or other liability, whether in contract, tort or otherwise, arising out of or in connection with this product or the use of this product or otherwise. by downloading, installing, or using this product, you acknowledge and agree that Agora is not responsible for any loss or injury of any kind that may be caused to yourself or others for any reason while trying out this product.

Ⅸ. Others

1. Ownership and Intellectual Property Rights: All content on FLAT, including but not limited to text, software, sound, pictures, video, graphics, and course content provided by Agora marked "All Rights Reserved, Reproduction Prohibited" are owned by Agora or other rights holders in accordance with the law, including but not limited to copyright, trademark, patent, etc. patents, etc. You may not use, modify, reproduce, transmit, alter, distribute, publish, or distribute such content without the written consent of Agora or such other rights holder. You agree to bear all losses caused to Agora or other right holders if you violate any of these rights. You may not modify, merge, adapt, reverse engineer, sublicense, and/or sell copies of the Software or otherwise act in a manner that is harmful to the legal rights of Agora.
2. Discontinuance, Modification, and Discontinuance of Services: You understand and agree that the Company reserves the right to modify, discontinue, suspend, or terminate the Services upon notice, without liability or compensation to the user, for the overall operation of the Services.
3. Notices: All notices sent to you may be transmitted by email, regular mail or by prominently announcing them on the Site.
4. This Agreement shall be governed by the laws of the People's Republic of China (excluding conflict of laws). When any content of this Agreement is in conflict with the laws of the People's Republic of China, the provisions of the law shall prevail, while the relevant content will be amended or reinterpreted in accordance with the provisions of the law, while the legal effect of the rest of this Agreement shall remain unchanged.
5. Any dispute arising out of or in connection with this Agreement shall be submitted to the Shanghai Arbitration Commission for arbitration in accordance with the arbitration rules of the Commission in effect at the time of application for arbitration, and shall be heard by three arbitrators. The arbitral award shall be final and binding on both parties.
6. This Agreement shall be effective as of the date of publication and shall constitute an understanding between you and Agora.
7. The failure to exercise, failure to exercise in a timely manner, or failure to exercise in full the rights of Agora under this Agreement or in accordance with law shall not be deemed a waiver of such rights and shall not affect Agora’s ability to exercise such rights in the future.
